Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Converzo platform and related websites, applications, and services (the "Service"), operated by WCB Network Private Limited ("Converzo", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Converzo is a B2B software platform that lets businesses connect their own WhatsApp Business Account (via Meta's official WhatsApp Business Platform) to send, receive, and automate customer messaging — including chatbots, broadcast campaigns, drip sequences, and live chat. Converzo is an independent service and is not endorsed by, affiliated with, or operated by Meta Platforms, Inc. or WhatsApp LLC.

2. Accounts and eligibility

• The Service is intended for businesses. You must be at least 18 years old and authorized to act on behalf of the business you register.
• You are responsible for safeguarding your login credentials and for all activity under your account.
• You must provide accurate registration and billing information and keep it current.

3. WhatsApp and Meta platform compliance

Your use of WhatsApp messaging through Converzo is additionally governed by Meta's terms, including the WhatsApp Business Messaging Policy, WhatsApp Business Terms of Service, and the Meta Platform Terms. You agree to:

• Message only recipients who have given valid opt-in consent to receive messages from your business
• Honor opt-out requests promptly
• Not send spam, unsolicited bulk messages, or prohibited content (as defined by WhatsApp's policies and applicable law)
• Use approved message templates for business-initiated conversations as required by WhatsApp

Meta may independently restrict or ban phone numbers or WhatsApp Business Accounts that violate its policies. Converzo is not responsible for actions Meta takes against your account.

4. Acceptable use

You agree not to use the Service to: violate any law or regulation; infringe intellectual-property or privacy rights; send fraudulent, deceptive, harassing, or harmful content; distribute malware; attempt to gain unauthorized access to the Service or its infrastructure; or resell the Service without our written agreement.

We may suspend or terminate accounts that violate these Terms or Meta's policies, with notice where practicable.

5. Your data

As between you and Converzo, you own the data you bring to the Service — your contacts, message content, templates, and campaign configurations ("Customer Data"). You grant us a limited license to process Customer Data solely to provide the Service. Our handling of personal data is described in the Privacy Policy. You are responsible for ensuring you have the legal right (including consent where required) to upload and message your contacts.

6. Subscriptions, billing, and trials

• Paid plans are billed in advance on a recurring basis through our payment provider, Razorpay.
• WhatsApp conversation charges levied by Meta are passed through at cost or billed as described on our pricing page.
• Free trials convert to paid plans only if you choose to subscribe; we do not auto-charge without a subscription.
• You can cancel anytime; access continues until the end of the paid period. See the Refund Policy.
• We may change plan pricing with at least 30 days' notice; changes apply from your next billing cycle.

7. Intellectual property

The Service, including its software, design, and branding, is owned by WCB Network Private Limited and protected by applicable intellectual-property laws. These Terms do not grant you any rights to our trademarks or source code. Feedback you provide may be used by us without restriction.

8. Availability and support

We work to keep the Service available and reliable, but we do not guarantee uninterrupted operation. The Service depends on third-party platforms (including Meta's WhatsApp Business Platform) whose availability is outside our control. Support is provided via [email protected].

9. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that messages will be delivered, that delivery times will meet your expectations, or that the Service will be error-free.

10. Limitation of liability

To the maximum extent permitted by law, WCB Network Private Limited will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total aggregate liability for all claims relating to the Service is limited to the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnity

You agree to indemnify and hold harmless WCB Network Private Limited from claims arising out of your Customer Data, your messaging practices (including lack of recipient consent), or your violation of these Terms or Meta's policies.

12. Termination

You may stop using the Service and request account deletion at any time (see Data Deletion). We may suspend or terminate the Service for material breach of these Terms. Sections that by their nature should survive termination (including 5, 7, 9, 10, and 11) survive.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance.

14. Governing law and contact

These Terms are governed by the laws of India. Courts at the registered office of WCB Network Private Limited shall have exclusive jurisdiction, subject to applicable law.
